These Terms of Service ("Terms") govern your access to and use of the CobaltVector website, software, and services (collectively, the "Services") provided by CobaltVector SARL, a company incorporated in Luxembourg with registration number RCSB268547 ("CobaltVector", "we", "our", or "us").

CobaltVector provides virtual tour software and related services for real estate professionals, including but not limited to:

• 360-degree photography and virtual tour creation
• Interactive floor plan development
• Virtual reality experiences
• Analytics and reporting tools
• Customer support and training

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice, though we will make reasonable efforts to provide advance notice of significant changes.

User Accounts and Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account

CobaltVector Property

User Content

You retain ownership of any content you upload to our Services, including photographs, property information, and other materials. By uploading content, you grant CobaltVector a limited, non-exclusive licence to use, process, and display such content solely for the purpose of providing our Services to you.

"CobaltVector" and related marks are trademarks of CobaltVector SARL. You may not use our trademarks without our prior written consent.

Payment and Billing

Certain aspects of our Services require payment. By purchasing our Services, you agree to pay all applicable fees and charges. All fees are quoted in Euros (EUR) unless otherwise specified.

Payment Terms

• Payment is due in accordance with the payment terms specified in your service agreement
• All fees are non-refundable unless otherwise specified
• We reserve the right to suspend Services for non-payment
• You are responsible for all taxes associated with your purchase

Limitation of Liability

To the maximum extent permitted by applicable law, CobaltVector shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Any unauthorised access to or use of our servers and/or personal information
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or similar harmful code that may be transmitted through the Services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

In no event shall CobaltVector's total liability to you for all damages exceed the amount paid by you to CobaltVector for the Services in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. CobaltVector expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Services will be accurate or reliable
• Any errors in the software will be corrected

Indemnification

You agree to defend, indemnify, and hold harmless CobaltVector, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit, post, or transmit through the Services

Termination

Either party may terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to access and use the Services will cease immediately
• We may delete your account and all associated data
• All provisions of these Terms that by their nature should survive termination shall survive

We reserve the right to refuse service to anyone for any reason at any time.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Luxembourg, and the parties hereby irrevocably consent to personal jurisdiction and venue therein.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

Severability
